Terms of Service

1. Acceptance of Terms

By accessing or using Fruition ("the platform," "the service"), you agree to be bound by these Terms and all applicable laws. If you use Fruition on behalf of a farm or other organization, you represent that you have authority to bind that organization to these Terms, and "you" includes that organization.

2. Description of Service

Fruition is a farm-management software-as-a-service platform for specialty growers. It provides tools for harvest and batch logging, cultivation and inventory tracking, scheduling, time-clock and payroll support, mileage and market-session tracking, environmental monitoring, optional grow-room equipment automation, financial and accounting integrations, and an optional AI assistant. The platform is provided at fruitiongrower.com and through the Fruition mobile app. Fruition is a business-management and record-keeping tool only.

3. Account Registration

Access requires an account. You agree to provide accurate information, keep your credentials secure, and accept responsibility for all activity under your account. Farm owners are responsible for the users they invite and for the data entered into their workspace. Notify us immediately of any unauthorized access at support@fruitiongrower.com.

4. Acceptable Use

You agree to use Fruition only for lawful farm-business purposes. You must not:

• Use the platform for any unlawful purpose or in violation of any applicable regulation.
• Attempt to reverse engineer, decompile, or reproduce any part of the platform.
• Resell or sublicense access to Fruition without written authorization.
• Attempt to access data belonging to other users or farms.
• Interfere with or disrupt the platform's infrastructure, servers, or networks.
• Use automated tools or scrapers to extract data from the platform.

We may investigate and take action against violations, including immediate suspension.

5. Subscription and Billing

Fruition is offered on a month-to-month subscription basis, with no long-term commitment.

• Subscription fees are billed monthly in advance and processed by Stripe.
• You may cancel at any time; cancellation takes effect at the end of your current billing period. Fees already paid are non-refundable except where required by law.
• You authorize us to charge your payment method on each billing date.
• Non-payment may result in suspension or termination.

We may change pricing with at least 30 days' notice. Continued use after a change takes effect constitutes acceptance of the new pricing.

6. Your Data and Ownership

You retain ownership of all farm data you enter into Fruition. We do not claim ownership of your data and do not sell it. Your use of Fruition is also governed by our Privacy Policy, incorporated here by reference. You are responsible for the accuracy and legality of the data you enter, including any information about your employees and customers, and for having the right to provide it to us.

7. Third-Party Integrations

Fruition connects, at your direction, to third-party services — including Anthropic (AI), Square, Intuit (QuickBooks Online and QuickBooks Time), Plaid, Stripe, AC Infinity, Tuya, Google Maps, Resend, Twilio, and Expo (push notifications), among others described in our Privacy Policy. Each is governed by its own terms and privacy policy. We are not responsible for the availability, accuracy, security, acts, or omissions of any third-party service, and we are not liable for outages, errors, data loss, or changes caused by them.

8. Equipment Control and Automation — Disclaimer

This capability is provided "as is" and for convenience only. You acknowledge and agree that:

• Automation and remote control can fail or behave unexpectedly — due to network or internet outages, third-party device or API failures, incorrect settings, sensor faults, power interruptions, device firmware, or software errors — and may not operate in real time.
• Fruition is a management tool, not a life-safety, alarm, or fail-safe system, and must not be relied upon as the sole control or monitor for any critical process.
• You are solely responsible for your crops, equipment, facility, and their proper configuration, maintenance, and independent safeguards (including manual overrides and hardware limits).
• To the fullest extent permitted by law, we are not liable for crop loss or damage, equipment damage, spoilage, downtime, or any other loss arising from automation actions, automation failures, missed or delayed commands, inaccurate readings, or your reliance on the platform's control or monitoring features.

You are responsible for testing automations and for maintaining appropriate independent controls and monitoring for your operation.

9. Not Agricultural, Financial, Legal, or Tax Advice

Fruition provides software tools, calculations, forecasts, and AI-generated suggestions to help you manage your operation. These outputs may be incomplete or inaccurate and are not professional agricultural, agronomic, veterinary, financial, accounting, legal, tax, or employment advice. You are responsible for verifying results and for decisions you make about your crops, business, employees, and compliance. Consult qualified professionals where appropriate.

10. Employee Monitoring and Location Tracking

Fruition includes features that collect employee information, including time-clock records and precise GPS location during active market sessions and farm trips (including background location collection on the mobile app, as described in the Privacy Policy). If you are a farm owner or employer using these features, you are solely responsible for:

• Notifying your workers that their time and location are tracked, and how;
• Obtaining any consent required and honoring workers' choices; and
• Complying with all applicable employment, labor, wage-and-hour, privacy, and monitoring laws in your jurisdiction.

You agree to indemnify us for claims arising from your monitoring of employees or your failure to meet these obligations.

11. Disclaimer of Warranties

Fruition is provided on an "as-is" and "as-available" basis, without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the platform will be uninterrupted, timely, secure, error-free, or that any result, calculation, or automation will be accurate or reliable. Your use of the platform is at your own risk.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Hidden Pearl Mushrooms LLC and its owners, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, crops, goodwill, or business interruption, arising out of or relating to your use of (or inability to use) Fruition — even if advised of the possibility of such damages. Our total cumulative liability for any and all claims arising from or relating to Fruition shall not exceed the greater of (a) the total fees you paid to us in the three months immediately preceding the event giving rise to the claim, or (b) US $100.

13. Indemnification

You agree to defend, indemnify, and hold harmless Hidden Pearl Mushrooms LLC and its owners, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the platform; (b) your violation of these Terms or any law; (c) the data you enter, including employee and customer information; (d) your monitoring of employees or location tracking; or (e) your use of equipment automation and control features.

14. Termination

Either party may terminate at any time. You may cancel your account within the app or by contacting us; cancellation takes effect at the end of your current billing period. We may suspend or terminate your account immediately for violation of these Terms, non-payment, or conduct harmful to the platform or others. On termination you may delete your data using the in-app deletion tools; see the Privacy Policy for how deletion works. Sections that by their nature should survive termination (including Sections 8–13, 15, and 16) will survive.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. You agree that the exclusive venue and jurisdiction for any dispute arising out of or relating to Fruition or these Terms shall be the state and federal courts located in California, and you consent to the personal jurisdiction of those courts.

Before filing any claim, you agree to first contact us at support@fruitiongrower.com and attempt in good faith to resolve the dispute informally for at least 30 days. Any claim must be brought in an individual capacity, and not as a plaintiff or class member in any class or representative action, to the extent permitted by law.

16. Changes to These Terms

We may update these Terms from time to time. We will revise the "Last updated" date above and make reasonable efforts to notify active account owners of material changes. Continued use of Fruition after changes take effect constitutes acceptance of the revised Terms.
